Terms of Service

Last updated: July 24, 2026

These Terms of Service ("Terms") govern your access to and use of BlackTally (the "Service") — an operations assistant that helps accounting and tax firms collect client documents and maintain compliance. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a firm, you represent that you are authorized to bind that firm, and "you" refers to the firm.

1. The service

BlackTally provides tools to create document requests, send reminders to your clients by email and SMS, collect uploaded documents, generate a Written Information Security Plan (WISP), and related features. We may add, change, or remove features over time. The Service is provided on a software-as-a-service basis and is not accounting, tax, legal, or compliance advice.

2. Accounts & eligibility

3. Subscriptions, billing & trials

4. Your clients' data & your responsibilities

You control the client information and documents you put into the Service. With respect to that data, you are the "controller" (or "business") and BlackTally acts as your "processor" (or "service provider"), handling it on your behalf and under your instructions. You represent and warrant that you have the right and any necessary consents to upload client data and to contact your clients through the Service.

Tax preparers who handle taxpayer data have obligations under the IRS Safeguards Rule (Publication 4557), the FTC / GLBA Safeguards Rule, and must maintain a written information security plan. BlackTally supports good document-handling practices but is not a substitute for your firm's own compliance program, and using it is not a guarantee of compliance. You remain responsible for your clients' data and your regulatory obligations.

5. Messaging & consent (email and SMS)

The Service sends reminders and notifications to your clients on your behalf. You are responsible for obtaining and maintaining any consent required to contact your clients, including under the Telephone Consumer Protection Act (TCPA) and similar laws. Recipients may opt out of text messages at any time by replying STOP; the Service honors opt-outs and will not send further SMS to an opted-out recipient. You agree not to use the Service to send unlawful, deceptive, or unsolicited messages.

6. Acceptable use

7. Intellectual property

BlackTally and its software, design, and content are owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights to the data and documents you upload ("Your Content"); you grant us the limited rights needed to host, process, and display Your Content to provide the Service.

8. Third-party services

The Service relies on third-party providers — including Cloudflare (hosting and storage), Stripe (payments), Resend (email), Twilio (SMS), and Anthropic (AI drafting). Your use may be subject to their terms, and we are not responsible for their acts or omissions.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any reminder or message will be delivered. BlackTally is software and does not provide accounting, tax, legal, or compliance advice.

10. Limitation of liability

To the maximum extent permitted by law, BlackTally will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold BlackTally harmless from claims arising out of your use of the Service, Your Content, your messaging to clients, or your violation of these Terms or applicable law.

12. Term & termination

These Terms apply while you use the Service. You may stop using and delete your account at any time. We may suspend or terminate access for violation of these Terms or to comply with law. On termination you may export your data as described in our Privacy Policy; afterward we may delete it in the ordinary course.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Louisiana, United States, without regard to its conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located in Louisiana.
